A Seminar on Theoretical Issues relating to Disputes over Performance Valuation Adjustment in Mergers and Acquisitions of Listed Companies Held in Beijing


 

A seminar on the theoretical issues relating to disputes over performance valuation adjustment in mergers and acquisitions of listed companies was held in Beijing on January 22, 2024. The seminar was hosted by the Center for Private Law Studies of CASS Institute of Law and attended by more than ten experts and scholars from Tsinghua University, Beijing Institute of Technology, China University of Political Science and Law, East China University of Political Science and Law and CASS Institute of Law.

 

 

The seminar, presided over by Professor Xie Hongfei, head of the Civil Law Department of CASS Institute of Law, mainly focused on the legal application of law in the handling of disputes over performance valuation adjustment in mergers and acquisitions of listed companies. The participants discussed the concept, origin, types, and effects of performance valuation adjustment agreements, the specific application of civil law and company law in cases of disputes over performance valuation adjustment agreements, and the assumption of performance compensation responsibilities when conditions of valuation adjustment were triggered. Through in-depth discussions, the participants tried to provide theoretical support for the proper resolution of disputes over performance valuation adjustment in mergers and acquisitions of listed companies.
