The third session of the lecture series Shatan Youth Forum in 2025: "The Rule of Law and Chinese-style Modernization", sponsored by CASS Institute of Law and CASS Institute of International Law, was held in Beijing on May 13, 2025. At this session, Dr. Wang Qi, an assistant research fellow at the Commercial Law Department of CASS Institute of Law, gave a lecture on "Innovation of the System of Directors' Duty of Loyalty in the New Company Law". The lecture was presided over by Mr. Zhang Jingui, head of the Research Coordination and International Cooperation Department of CASS Institute of Law, and attended by more than 20 young researchers from CASS Institute of Law and CASS Institute of International Law. After the lecture, participants carried out discussions on such issues as the civil liability of directors for divulging trade secrets, the applicable rules on disgorgement of profits, and the application relationship between the procedural review mechanism and substantive fairness standards.
