This book focuses on the concept change and institution building of corporate legislation in China, and carries out in-depth discussions on the reform trend and institutional improvement of the Chinese company law from the perspectives of corporate governance rules, accelerated maturity of shareholders' capital contributions, shareholders' liquidation obligations, corporate risk management, shareholder activism, etc., with a view to contributing wisdom to the revision of the Company Law. Commercial Law is a biannual publication sponsored by the Commercial Law Department of the Institute of Law, Chinese Academy of Social Sciences and edited by Jie Chen, Xia Xiaoxiong and Tang Linyao. Consisting of such parts as theme discussion, papers, case study, dissertations, research reports, and book reviews, it aims to promote the theoretical research on commercial law and the development of commercial rule of law in China.
